General Terms and Conditions of Sale (T&Cs)
1. PREAMBLE
These General Terms and Conditions of Sale (T&Cs) govern the contractual relationship between Alexandre Nikov (hereinafter referred to as "the Service Provider"), art director, graphic designer, illustrator, and advertising freelancer in France, registered with the Maison des Artistes since 2004 and operating under the micro-enterprise regime (Non-Commercial Profits), SIRET: 483 736 427 00020, APE Code: 9003A, and any natural or legal person (hereinafter referred to as "the Client") wishing to order a service.
2. SCOPE OF APPLICATION
These T&Cs apply to all graphic design, illustration, and advertising communication services provided by the Service Provider. Placing an order implies full and unconditional acceptance of these T&Cs by the Client.
3. QUOTE AND ORDER
3.1. Any service request is subject to a free quote specifying the nature of the work, the delivery deadlines, and the price.
3.2. The quote is valid for 30 days from its issue date.
3.3. The order is confirmed by signing the quote with the mention "Approved" and paying a deposit of 30% of the total amount.
3.4. For any online order, full payment in advance is required.
4. PRICES AND PAYMENT TERMS
4.1. Prices are expressed in euros and exempt from VAT (Article 293 B of the French General Tax Code).
4.2. The balance is due upon delivery of the service, except for online orders, where full payment is required before starting the work.
4.3. Payment is made by bank transfer or any other agreed-upon method.
4.4. In case of late payment, penalty fees of 10% of the total amount will be applied, along with a fixed compensation of €40 for collection costs.
5. DELIVERY TIMES AND METHOD
5.1. Delivery times are indicative and may be adjusted based on project requirements and Client modification requests.
5.2. The final files are delivered electronically or via any other agreed-upon method.
6. REVISIONS AND MODIFICATIONS
6.1. The Client is entitled to two rounds of modifications included in the quote. Any additional modification requests will be subject to an extra charge.
6.2. Any modification request requiring additional work (feature additions, major changes) will be subject to a new quote.
7. INTELLECTUAL PROPERTY
7.1. The Service Provider retains intellectual property rights over the creations until full payment of the service.
7.2. Unless otherwise agreed, the Service Provider reserves the right to mention completed projects as references on their website and promotional materials.
8. LIABILITY
8.1. The Service Provider commits to delivering high-quality work in accordance with the accepted quote.
8.2. The Service Provider shall not be held liable for any misuse of the deliverables by the Client.
8.3. Any complaint must be submitted in writing within 7 days following the delivery of the service.
9. TERMINATION
9.1. If the Client cancels the order before delivery, the deposit remains acquired by the Service Provider as compensation.
9.2. In the event of force majeure, either party may terminate the contract without compensation.
10. APPLICABLE LAW AND DISPUTES
10.1. These T&Cs are governed by French law.
10.2. In case of a dispute, an amicable solution will be sought first. If no agreement is reached, the competent courts will be those of the Service Provider's residence.
